Purpose
ArtNDreams operates an online platform for selling artworks and desires to collaborate with Artist to sell Artist’s artworks on its platform.
Artwork Submission
A. Artist agrees to submit digital images or photographs of their artworks (“Artworks“) to ArtNDreams for consideration and inclusion on the ArtNDreams.com website.
B. Artist acknowledges that ArtNDreams has sole discretion in selecting which Artworks will be included on its website.
Copyright and Intellectual Property
A. Artist retains all copyright and intellectual property rights in the Artworks submitted to ArtNDreams.
B. Artist grants ArtNDreams a non-exclusive, worldwide, royalty-free license to use, reproduce, distribute, and display the Artworks on the ArtNDreams.com website for the purposes of promoting and selling the Artworks.
C. Artist acknowledges that all rights, title, and interest in any materials incorporating the Artworks on the ArtNDreams.com website (such as product images or promotional materials) shall belong exclusively to ArtNDreams.
Pricing and Sales
A. ArtNDreams shall have the right to determine the retail prices of the products featuring the Artworks on its website.
B. Artist agrees that ArtNDreams may adjust the prices of products featuring the Artworks at its discretion, without prior consultation with Artist.
C. Artist understands that ArtNDreams may offer discounts, promotions, or sales on products featuring the Artworks without seeking permission from Artist.
Profits and Royalties
A. For each sale of a product featuring Artist’s Artwork on ArtNDreams.com, Artist shall receive a royalty of `{`X`}`% of the net proceeds (defined as the sale price minus any applicable taxes, discounts, and shipping costs).
B. Royalty payments shall be made to Artist on a `{`monthly/quarterly`}` basis, within `{`X`}` days after the end of each `{`month/quarter`}`.
C. ArtNDreams shall provide Artist with a detailed sales report showing the number of products sold, sale prices, and royalties due to Artist.
Promotion and Marketing
A. ArtNDreams shall use commercially reasonable efforts to promote and market the Artworks and products featuring the Artworks on its website and through its marketing channels.
B. Artist agrees to assist ArtNDreams in promoting the Artworks and products featuring the Artworks through Artist’s own social media channels and networks.
Term and Termination
A. This agreement shall commence on the date of signing and shall continue until terminated by either party upon `{`X`}` days’ written notice.
B. Upon termination, ArtNDreams shall cease selling products featuring Artist’s Artworks and shall remove them from its website within a reasonable timeframe.
Miscellaneous
A. This agreement constitutes the entire understanding between the parties with respect to its subject matter and supersedes all prior agreements and understandings, whether written or oral.
B. Any amendments or modifications to this agreement must be made in writing and signed by both parties.
C. This agreement shall be governed by and construed in accordance with the laws of Jurisdiction.
